(Hereinafter collectively referred to as the "Provider", "Seek2Find / EDWP Services", or the "Parties".)

SECTION 1: AUTHORIZATION & TERM

The Client hereby authorizes Seek2Find to provide Home Care Services and EDWP Services (if approved) at the Client's or patient's residence beginning on ____________________.

The term of this Contract is 12 months, unless earlier terminated in accordance with Section 9.

Either party may terminate this Contract by providing 30 days' written notice to the other party.

The Provider may terminate this Contract immediately if the Client or the Client's family endangers staff safety or violates required medical protocols.

SECTION 2: EDWP SERVICES & ELIGIBILITY

The EDWP (Elderly & Disabled Waiver Program) is a Medicaid-funded program for adults age 21 and older with disabilities or elderly individuals who require assistance to remain safely in their home or community instead of residing in an institution.

Eligibility requires meeting applicable income and resource limits, qualifying for a nursing facility level of care, and maintaining active Medicaid enrollment.

To receive EDWP Services under this Contract, the Client must obtain approval through the EDWP prior authorization process. All services are subject to program eligibility requirements, medical necessity, and prior approval by the State or its authorized review entity.

The Provider will assist the Client with the submission of required documentation, coordination with the Client's physician, and compliance with all applicable EDWP policies and procedures.

Services provided under this Contract shall be limited to the hours and scope of care approved by EDWP. Any additional hours or services beyond the approved authorization require separate approval and may be subject to additional charges.

If EDWP approval is denied, suspended, or terminated, Seek2Find Home Care Services LLC may continue providing non-EDWP home care services under this Contract, subject to the applicable payment terms and conditions.

SECTION 3: ASSESSMENTS Completed based on clients needs

The Provider will conduct assessments of the Client (or patient) as determined in consultation with the Client's physician and in accordance with EDWP requirements.

Assessments will be performed by a qualified Registered Nurse (RN) or other licensed healthcare professional. These assessments will evaluate the Client's health status, changes in condition, compliance with the care plan, and the need for any adjustments to services.

For Clients receiving EDWP Services, assessments may also serve as required clinical updates or recertification documentation in accordance with EDWP program requirements.

The results of each assessment will be documented in writing and shared with the Client (or legal guardian), the Client's physician, and other authorized parties, as appropriate.

SECTION 4: DESCRIPTION OF SERVICES

Seek2Find (and EDWP Services, when applicable) may provide:

Companionship Services

Personal Care Assistance

Transitional Care

Chronic Disease Management

Respite Care

Post-Surgery Assistance

End-of-Life or Hospice Support

Certified Nursing Assistant (CNA) Services

Skilled Nursing Services under EDWP (if approved)

Medication Management, Wound Care, and Ventilator/Oxygen Care (when within the approved EDWP scope)

Health Coordination, Monitoring, Nutrition, Ambulation, Personal Hygiene, and Transportation Assistance

All EDWP Services must be provided in accordance with the physician's Plan of Treatment and the hours and scope of services approved under the EDWP program. Any services requested outside the approved scope require prior written authorization.

SECTION 5: PAYMENT & BILLING

For non-program services, the Client shall pay $_____ per hour, with a monthly rate of $_____. Payments are due weekly (or according to the agreed payment schedule) and may be made by check, online banking, or insurance/Medicaid reimbursement (if accepted).

If EDWP Services are approved, reimbursement shall be processed in accordance with applicable EDWP and Medicaid billing requirements and reimbursement rates permitted by law.

Holiday services will be billed at time-and-a-half. Mileage reimbursement will apply when a caregiver uses a personal vehicle to provide transportation for the Client.

Late payments will incur a 3% fee on the outstanding balance.

If EDWP reimbursement is delayed or denied, the Client may be responsible for payment for services rendered, subject to any prior written agreement between the Client and the Provider.

SECTION 6: NON-COMPETE / DIRECT HIRE

The Client agrees not to hire, contract directly with, or solicit employment from any employee or independent contractor of Seek2Find during the term of this Contract.

Any violation of this provision shall result in the Client being responsible for payment of the full remaining value of the Contract, in addition to any applicable legal fees and court costs.

SECTION 7: INSURANCE & LIABILITY

Seek2Find maintains General Liability Insurance and Employment Practices Liability Insurance.

For EDWP Services, Seek2Find also maintains Professional Liability (Malpractice) Insurance as required under applicable EDWP provider regulations.

The Provider shall not be liable for any outcomes resulting from physician-directed care or the Client's failure to follow the prescribed plan of care or medical instructions.

The Client agrees to indemnify, defend, and hold harmless the Provider from any claims, damages, liabilities, or losses arising from such outcomes.

SECTION 8: CONFIDENTIALITY & HIPAA

All client, patient, family, and medical information obtained during the delivery of services shall be kept strictly confidential.

The Provider complies with all applicable HIPAA regulations and EDWP/Medicaid privacy requirements to protect the confidentiality and security of client information.

The confidentiality obligations set forth in this Agreement shall survive the termination or expiration of this Contract.

SECTION 9: CANCELLATION & TERMINATION

If services are canceled after this Agreement has been signed and before completion of the full contract term, the Client shall pay a cancellation fee equal to 25% of the agreed monthly service amount.

Either Party may terminate this Agreement by providing 30 days' written notice to the other Party.

The Provider may terminate this Agreement immediately if the Client or the Client's family endangers the safety of staff members or violates required medical protocols.

Upon termination of this Agreement, the Provider will prepare and deliver a final summary assessment and transition plan to the Client or the Client's legal guardian, as applicable.

SECTION 10: FORCE MAJEURE

Neither Party is liable for delays or failures caused by events beyond reasonable control (natural disasters, power failure, governmental acts, etc.).

SECTION 11: SEVERABILITY

If any provision is deemed invalid or unenforceable, the remaining provisions remain effective to the fullest extent allowed by law.

SECTION 12: AMENDMENT

This Contract may only be amended in writing, signed by both Parties.

SECTION 13: NOTICE

Notices under this Contract shall be given in person or via certified mail to the addresses listed above.

SECTION 14: ATTORNEY’S FEES

The breaching party shall be responsible for attorney’s fees and costs incurred by the non-breaching party in enforcing this Contract.

SECTION 15: GOVERNING LAW

This Contract is governed by the laws of the State of Georgia.
