The Client hereby authorizes Seek2Find to provide Home Care Services and a GAPP Client Contract (if approved) at the Client's or patient's residence beginning on ____________________.

The term of this Contract is 12 months, unless earlier terminated in accordance with Section 9.

Either party may terminate this Contract by providing 30 days' written notice to the other party.

The Provider may terminate this Contract immediately if the Client or the Client's family endangers staff safety or violates required medical protocols.

GAPP (Georgia Pediatric Program) is a Medicaid-funded program for medically fragile children under age 21 who require skilled nursing care and/or personal care support.

To receive GAPP Services under this Contract, the Client (or patient) must be approved by the GAPP Program through prior authorization. All services are subject to GAPP eligibility, medical necessity, and prior approval by the State or its authorized review entity.

Eligibility generally requires:

• Enrollment in Medicaid
• Medical fragility
• Age under 21
• Physician-ordered services

The Provider will assist with submitting the required GAPP documentation, coordinating with the physician, and ensuring compliance with GAPP policies.

GAPP Services provided under this Contract will strictly follow the hours and scope approved by GAPP. Any additional hours or services beyond GAPP approval require separate authorization and may result in additional charges.

If GAPP approval is denied or terminated, Seek2Find may continue providing home care services under the non-GAPP portion of this Contract, subject to the applicable payment terms.

The Provider will conduct assessments of the Client (or patient) on a weekly or bi-weekly basis, determined in consultation with the Client’s physician and in accordance with GAPP or Medicaid requirements.

Assessments will be performed by a qualified registered nurse or licensed professional and will evaluate:

• Health status
• Changes in condition
• Compliance with the care plan
• Need for adjustments to services

For Clients under GAPP, these assessments may serve as required clinical updates or recertification documentation under GAPP protocols.

Results of each assessment will be documented in writing and shared with the Client (or guardian), physician, and relevant parties.

The initial assessment is paid for by the agency. The Client (or family) will be responsible for $100.00 per month for all subsequent assessments.

Services Provided

Seek2Find (and GAPP Services, when applicable) may provide:

• Companionship Services
• Personal Care Assistance
• Transitional Care
• Chronic Disease Management
• Respite Care
• Post-Surgery Assistance
• End-of-Life or Hospice Support
• Certified Nursing Assistant Services
• Nursing Services (Skilled) under GAPP (if approved)
• Medication Management, Wound Care, Ventilator/Oxygen Care (if within the approved GAPP scope)
• Health Coordination, Monitoring, Nutrition, Ambulation, Hygiene, and Transportation Assistance

All GAPP Services must conform to the physician’s Plan of Treatment and GAPP-approved hours and scope. Services outside the approved scope require prior written authorization.

For non-GAPP services, the Client shall pay $_____ per hour, with a monthly rate of $_____. Payments are due weekly (or per the agreed payment schedule) and may be made by check, online banking, or insurance/Medicaid reimbursements (if accepted).

If GAPP Services are approved, reimbursement will follow GAPP/Medicaid billing protocols and rates as permitted by law.

Holidays will be billed at time-and-a-half. Mileage reimbursement applies when the caregiver uses a personal vehicle for client transportation.

Late payments will incur a 3% fee on the outstanding balance.

If GAPP reimbursement is delayed or denied, the Client may be responsible for payment for services rendered, subject to prior written agreement.

The Client agrees not to hire, contract directly with, or solicit employment from Seek2Find's employees or contractors during the term of this Contract.

Any violation of this provision shall result in payment of the full remaining contract value, in addition to all applicable legal costs.

Seek2Find maintains General Liability and Employment Practices Liability Insurance.

For GAPP Services, Seek2Find maintains professional liability/malpractice coverage as required by Medicaid and GAPP provider regulations.

The Provider is not liable for outcomes resulting from physician-directed care or the Client's non-compliance. The Client agrees to indemnify and hold harmless the Provider for such outcomes.

All client, patient, family, and medical information obtained during the delivery of services is strictly confidential.

The Provider complies with HIPAA regulations and all applicable GAPP/Medicaid privacy requirements.

The confidentiality obligations set forth in this Contract shall survive the termination of this Contract.

If services are canceled after signing and before the completion of the full contract term, the Client shall pay a cancellation fee equal to 25% of the agreed monthly service amount.

Either Party may terminate this Contract by providing 30 days' written notice.

The Provider may terminate this Contract immediately if the Client or family endangers staff or violates applicable medical protocols.

Upon termination, the Provider will deliver a final summary assessment and transition plan to the Client (or guardian).

Neither Party is liable for delays or failures caused by events beyond reasonable control (natural disasters, power failure, governmental acts, etc.).

If any provision is deemed invalid or unenforceable, the remaining provisions remain effective to the fullest extent allowed by law.

This Contract may only be amended in writing, signed by both Parties.

Notices under this Contract shall be given in person or via certified mail to the addresses listed above.

The breaching party shall be responsible for attorney’s fees and costs incurred by the non-breaching party in enforcing this Contract.
